Terms of Service

Effective date: January 1, 2026. Operated by Invite Technologies Inc. ("Skrypt Health", "we", "us"). By activating a Skrypt Health account, the practice ("Customer") agrees to these terms.

1. The Service

Skrypt Health provides an AI front-office platform for healthcare practices, including an AI voice agent for inbound call handling, a callback queue, SMS workflows, PMS integration, and the Client Hub Portal. The specific features enabled for your practice are set out in your Order Form.

2. Eligibility

The Service is available only to licensed healthcare practices and their authorized operators. By signing up, you represent that you have authority to bind the practice to these Terms and that the practice holds all necessary licences to operate in its jurisdiction.

3. Subscription and Payment

3.1 Billing cycle

Subscriptions are month-to-month unless an annual plan is agreed in writing. Fees are billed on the same calendar date each month to the payment method on file.

3.2 Pricing changes

We will give 30 days' written notice of any fee increase. Continued use after the notice period constitutes acceptance.

3.3 Taxes

Fees are exclusive of applicable taxes (HST, GST, sales tax). Customer is responsible for all taxes imposed on its use of the Service.

3.4 Overdue amounts

Accounts more than 15 days overdue may be suspended. Accounts more than 45 days overdue may be terminated with immediate effect and referred to collections.

4. Cancellation

Either party may cancel by providing 30 days' written notice to hello@skrypthealth.ai. Access continues through the end of the 30-day notice period. No refunds are issued for partial months already billed. Upon cancellation, we will provide a data export in CSV or JSON format on request within 14 days.

5. HIPAA / PHIPA Compliance

Skrypt Health operates as a Business Associate under HIPAA and a service provider under Canadian provincial health privacy legislation. A Business Associate Agreement (BAA) is required before the Service goes live at any healthcare practice and is available during onboarding. The BAA governs the handling of Protected Health Information (PHI) and takes precedence over these Terms where they conflict. See skrypthealth.ai/hipaa for details.

6. Acceptable Use

Customer may not:

  • Use the Service for any purpose that violates applicable law or regulation
  • Reverse-engineer, decompile, or attempt to extract model weights or proprietary algorithms
  • Resell or sublicense access to the Service without written consent
  • Use the Service to contact individuals on do-not-call registries in violation of TCPA, CASL, or equivalent law
  • Input data into the platform that Customer does not have the right to process

7. Intellectual Property

Skrypt Health retains all rights in the platform, AI models, and related technology. Customer retains all rights in its practice data and patient interaction data. Customer grants Skrypt Health a limited licence to process Customer data solely to deliver the Service. We do not use identifiable patient data for AI training without explicit written consent.

8. Uptime and Support

We target 99.5% monthly uptime for the voice agent and portal, excluding scheduled maintenance (notified 48 hours in advance) and events outside our reasonable control. Support is provided via email at hello@skrypthealth.ai with a target first-response within one business day.

9. Confidentiality

Each party agrees to keep the other's confidential information (marked as such or reasonably understood to be confidential) strictly confidential, to use it only to perform obligations under these Terms, and to disclose it only to personnel who need it for that purpose. This obligation survives termination for three years, except for PHI which is governed by the BAA indefinitely.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS". SKRYPT HEALTH DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. THE AI VOICE AGENT IS NOT A LICENSED MEDICAL PROFESSIONAL AND DOES NOT PROVIDE CLINICAL ADVICE. CALLBACK REQUESTS QUEUED BY THE AGENT MUST BE CONFIRMED BY A QUALIFIED HUMAN BEFORE ACTION IS TAKEN.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKRYPT HEALTH'S TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS IN ANY TWELVE-MONTH PERIOD SHALL NOT EXCEED THE FEES PAID BY CUSTOMER IN THAT PERIOD. NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THEIR POSSIBILITY.

12. Indemnification

Customer will defend, indemnify, and hold harmless Skrypt Health from claims arising from: (a) Customer's use of the Service in violation of these Terms or applicable law; (b) Customer's patient data or content submitted to the Service; or (c) claims by Customer's patients arising from the practice's clinical decisions.

13. SMS Messaging

Skrypt Health sends automated SMS messages on behalf of subscribed practices as part of the patient callback and appointment confirmation features. By enabling SMS features, you represent that your practice has obtained all necessary consents from patients to receive automated text messages, in compliance with the Telephone Consumer Protection Act (TCPA), Canada's Anti-Spam Legislation (CASL), and any other applicable telecommunications laws.

Message and data rates may apply. Message frequency varies based on practice configuration and patient interaction. Recipients may opt out at any time by replying STOP. Reply HELP for assistance or contact hello@skrypthealth.ai.

14. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Disputes will be resolved by binding arbitration administered by the ADR Institute of Canada, with proceedings in Toronto, Ontario, in English. Nothing prevents either party from seeking injunctive relief in a court of competent jurisdiction.

15. General

  • Entire agreement. These Terms, the Order Form, and the BAA constitute the entire agreement between the parties and supersede all prior understandings.
  • Amendment. We may update these Terms by posting the revised version at skrypthealth.ai/terms with 30 days' notice for material changes.
  • Severability. If any provision is found unenforceable, the remainder continues in full force.
  • Waiver. Failure to enforce any provision is not a waiver of the right to enforce it later.
  • Assignment. Customer may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger or acquisition.
  • Force majeure. Neither party is liable for failure to perform due to causes beyond its reasonable control.
